Buyer terms
What you can count on when you buy.
These terms apply when you buy a website build, a hosting plan or an edit from KairoFx, a one-person web design business in Mississauga, Ontario. "You" means the business buying. You accept them by ticking the box at checkout, by paying an invoice that links to them, or by accepting them in writing, such as by email. Version 1.0, in effect from 7 November 2026.
1. Business customers only
KairoFx sells to businesses and organizations. By buying, you confirm that you are buying for business purposes and that you have the authority to agree to these terms for your business. Nothing in these terms removes a right the law says can't be removed.
2. What makes up the agreement
The agreement is your written quote or scope, your invoice or checkout page, and these terms. If they conflict, your written quote or scope comes first, then these terms. Website pages and sales conversations describe the service in general, and they don't add promises unless they are in the quote or scope. Prices are the ones on your quote, invoice or checkout page, in Canadian dollars. Taxes are extra where the law requires them.
3. Website builds
Scope. The work is what your written scope lists. Anything else, including new pages, features or a change of direction, is priced and agreed before it is done, and it may move the timeline.
Payment. A build is paid in two parts: half upfront and half before launch, unless your quote says otherwise. Work starts after the upfront payment. The site goes live after the second payment.
Timelines. Dates are good-faith estimates, not guarantees. They depend on you sending content and feedback on time.
What you provide. You provide your content, including text, photos, logos and business details, along with accurate answers and timely feedback.
Review and launch. You review the site before launch. Launch means you have approved it, so please check names, prices, hours and claims carefully. KairoFx will fix any error it made that you report within 30 days of launch, at no charge, so long as the fix is within the agreed scope.
Stalled projects. If KairoFx hasn't heard from you for 60 days, it may close the project after emailing you. Restarting may cost extra.
Refunds on builds. If you cancel before work starts, your upfront payment is refunded. Once work has started, the upfront payment is non-refundable, because it pays for work already begun. If KairoFx can't finish the project and you aren't at fault, it refunds the part of what you paid that covers work not done. That refund is your only remedy for the project not being finished.
4. Who owns what
Your content stays yours. You let KairoFx use it to build, host and maintain your site.
The finished site becomes yours once the build is fully paid. That covers the site's files as delivered, so you can use, change and move them.
KairoFx's tools and know-how stay with KairoFx, including its reusable code, methods and tools. Where any of them are part of your site, you can keep using them as part of that site.
Third-party parts such as fonts, libraries, stock images and services stay under their own licences.
Tools used. KairoFx may use software tools, including AI tools, to produce code, text and images. It doesn't promise that a design or generated asset is unique to you, or that it can be protected as your exclusive property.
Credit and portfolio. Your site may carry a small "Site by KairoFx" link, and KairoFx may show the finished work as an example. Email KairoFx if you want either removed.
Other clients. KairoFx can work for other businesses, including ones in your industry.
5. Hosting plans
Hosting is available only for sites built by KairoFx, for now.
Basic includes:
- hosting for your site, with an SSL certificate
- one standard .ca or .com domain, kept renewed while your plan is active
- your booking or enquiry form kept working, within the limits of the form service it uses
- uptime monitoring, with reasonable efforts to fix problems on KairoFx's side
- updates to your hours and holiday closures
Other edits on Basic are priced by size, and the price is confirmed before the work starts.
Care includes everything in Basic, plus two changes each month and your Google Business Profile kept in step with your site. A change is one small or medium edit, and a larger piece of work is priced separately. Unused changes don't carry over. Extra changes cost the Basic price for their size. Keeping your Google profile in step needs your access permission. Google decides what it shows and what it suspends, so KairoFx can't promise an outcome there.
Fair use. Plans suit normal small-business sites. If your site needs much more traffic, storage or support than that, KairoFx will talk to you about what fits, which may mean a different price or moving the site elsewhere.
6. Your domain
Your domain is registered in your name or your business's name, and KairoFx manages it for you while your plan is active. You authorize KairoFx to register, renew and manage it on your behalf, and you agree to the rules of the registry and registrar, including, for a .ca, CIRA's registrant agreement and Canadian presence requirements.
You must give accurate registrant details, keep them current and respond to any verification email. A registry can suspend a domain that isn't verified. KairoFx doesn't promise that a particular domain is available or free of someone else's rights.
7. Billing and renewal
Plans renew automatically, monthly or yearly, until cancelled. By buying a plan you authorize the recurring charge to your payment method for that plan's price. Payments are handled by Stripe, and KairoFx doesn't see or store your full card number.
If the plan price will change, KairoFx gives you at least 30 days' notice by email, and the new price starts at your next renewal after that. If you bought at a launch price, you keep it while the same plan stays active without ending. Taxes the law requires can still be added.
8. Failed payments
If a plan payment fails, you are told by email at the address on file and the payment is retried automatically. You have 14 days from the first failed payment to fix it. You can do that by updating your payment method through the link in the email.
- If it is fixed within the 14 days, your plan carries on.
- If it isn't, your plan ends after the 14th day, your site may go offline, and KairoFx stops looking after the site and domain.
- KairoFx won't take your site down for non-payment before the 14 days are over. If your plan ends this way, the failed charge is written off and you owe nothing more for that plan.
Please keep your email address current. Section 10 explains what you get when a plan ends.
Please contact KairoFx before disputing a charge with your bank, since most billing problems can be fixed quickly.
9. Cancelling a plan
You can cancel at any time through your billing link or by emailing hello@kairofx.ca. Cancelling stops your next renewal. Your site stays up for the remainder of the plan: to the end of the month on monthly billing, or the end of the year on yearly billing.
Payments already made for a plan aren't refunded, including the unused part of a yearly plan, unless section 13 or the law says otherwise.
10. When a plan ends
After a plan ends, for any reason, KairoFx will on request:
- hand over your site files, provided your build is fully paid
- transfer your domain to you, once your account is paid up
Please ask within 60 days of the plan ending. After that, KairoFx may delete your site files.
Domain transfers depend on the registry's and registrar's rules and timing limits, which can delay a transfer. Once your plan ends, KairoFx stops renewing your domain. Renewing it becomes your job, and an unrenewed domain can be lost.
Moving a site can affect anything connected to the domain, such as email. You are responsible for your new hosting and for your settings once the domain has moved. KairoFx will share the domain's current settings on request. Please don't assume your files or data will still be available after a plan ends without keeping your own copy.
11. Your responsibilities
You are responsible for your content and your business, including that:
- you have the rights to everything you give KairoFx, and it doesn't infringe anyone's rights
- your content is accurate and lawful, and doesn't mislead or defame anyone
- your business meets the laws that apply to it, such as privacy, anti-spam, accessibility, advertising and industry rules, and any privacy notice your site needs
KairoFx doesn't give legal advice, and it doesn't promise that a site meets the legal requirements of your business. Sites can't be used for anything illegal, harmful or deceptive, or for material KairoFx reasonably finds unacceptable.
12. What KairoFx doesn't promise
KairoFx does its work with reasonable care and skill. Beyond that, and as far as the law allows, the services are provided as they are, without other warranties. In particular, KairoFx doesn't promise:
- uninterrupted or error-free uptime, or any particular response time
- that a site will be free of every security problem
- any search ranking, traffic, leads or sales
- that a site will look identical on every browser and device, or keep working the same way as those change
- that any third-party service will keep working, keep its price or stay available
KairoFx takes reasonable steps to keep sites secure, but keep your own copies of anything you can't afford to lose. Hosting, domains, forms, maps, booking tools, payments and similar services come from third parties under their own terms, and KairoFx isn't responsible for their outages or changes.
13. If KairoFx suspends or ends a service
KairoFx may suspend a site right away, or end a plan with reasonable notice where it can give notice, if needed to stop a security problem, a legal problem or a breach of section 11. It can also stop offering a plan by giving you 30 days' notice. If it ends your plan when you aren't at fault, it refunds the unused part of any prepaid period. That refund and the handover in section 10 are your only remedy for the plan ending.
14. Limit on liability
As far as the law allows:
- KairoFx's total liability for all claims relating to its services is limited to what you paid KairoFx in the 12 months before the event that caused the claim.
- KairoFx isn't liable for indirect or consequential losses, or for lost profits, revenue, business, goodwill or data.
These limits apply however the claim is framed, including contract or negligence. They don't limit liability for fraud or for anything else the law says can't be limited.
Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as outages, attacks, illness, natural events or actions by third-party providers.
15. If a claim is about your content
If someone makes a claim against KairoFx because of content you provided or how you run your business, you agree to cover KairoFx's reasonable losses and legal costs from that claim. This doesn't apply to the extent KairoFx caused the problem.
16. Privacy and confidentiality
How KairoFx handles personal information is explained in the privacy notice. Each of us will keep the other's private information confidential, unless it is already public or the law requires it to be disclosed. If your site collects information from your customers, you decide what is collected and why, and KairoFx handles it only as needed to run your site.
17. Changes to these terms
KairoFx may update these terms. For active plans, it gives you at least 30 days' notice by email, and the update applies from your next renewal after that. If you don't agree, cancel before then. A build already under way stays under the version you accepted, unless we both agree otherwise.
18. General
- Notices are by email: to the address you gave KairoFx, and to hello@kairofx.ca.
- Sorting out problems. Please email first, so we can try to resolve things directly within 30 days before either of us goes to court.
- Law. Ontario law and the federal laws of Canada that apply there govern these terms, and the courts of Ontario handle disputes. Small claims court remains available.
- Transfer. KairoFx may use subcontractors, and it may transfer this agreement to a successor of the business, including a corporation it forms. You can't transfer it without KairoFx's written OK.
- Survival. Sections about ownership, what happens when a plan ends, liability, claims and confidentiality continue after the agreement ends.
- Parts that fail. If a court won't enforce part of these terms, the rest still apply.
